1. Acceptance of Terms

By accessing and using the services provided by BETPRO PK ("Company," "we," "our," or "us"), you ("Client," "you," or "your") accept and agree to be bound by the terms and conditions outlined in this agreement. If you do not agree to these terms, please do not use our services.

2. Description of Services

BETPRO PK provides comprehensive IT services including but not limited to:

• Custom software development
• Cloud solutions and migration
• Web and mobile application development
• Cybersecurity services
• Digital strategy consulting
• IT infrastructure management
• UI/UX design services
• Digital marketing solutions

3. Service Agreement

3.1 Project Scope

All projects will be governed by a separate Statement of Work (SOW) or Service Agreement that will detail the specific scope, deliverables, timeline, and payment terms for each project.

3.2 Changes to Scope

Any changes to the project scope must be agreed upon in writing by both parties. Additional work may result in additional charges and timeline adjustments.

3.3 Client Responsibilities

The client agrees to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Provide necessary access to systems and resources
• Review and approve deliverables within agreed timeframes
• Make payments according to the agreed schedule

4. Payment Terms

4.1 Payment Schedule

Payment terms will be specified in the individual project agreement. Generally, payments may be structured as:

• Upfront payment for project initiation
• Milestone-based payments
• Monthly retainer fees for ongoing services
• Final payment upon project completion

4.2 Late Payments

Late payments may result in project suspension and additional charges. Interest may be charged on overdue amounts as per applicable laws.

5. Intellectual Property Rights

5.1 Client-Owned IP

Upon full payment, the client will own the intellectual property rights to custom-developed solutions, except for:

• Pre-existing IP owned by BETPRO PK
• Third-party components and libraries
• General methodologies and know-how

5.2 BETPRO PK IP

BETPRO PK retains ownership of all pre-existing intellectual property, methodologies, tools, and general know-how used in providing services.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. Any defects in deliverables will be corrected at no additional charge if reported within 30 days of delivery.

6.2 Disclaimer

Except as expressly stated herein, our services are provided "as is" without warranties of any kind, either express or implied.

7. Limitation of Liability

In no event shall BETPRO PK be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

8. Termination

8.1 Termination by Either Party

Either party may terminate the service agreement with 30 days written notice. In case of material breach, termination may be immediate upon written notice.

8.2 Effect of Termination

Upon termination:

• All unpaid invoices become immediately due
• Each party will return confidential information
• Client will receive completed work products paid for
• Ongoing obligations remain in effect

9. Governing Law and Jurisdiction

These terms are governed by the laws of India. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in Delhi, India.
